Paramount Skydance has cleared the largest remaining obstacle to its acquisition of Warner Bros. Discovery after California and 11 other states agreed to settle their antitrust lawsuit. The agreement effectively opens the way for CEO David Ellison to control an enormous entertainment and news portfolio containing Paramount, Warner Bros., CBS, CNN, HBO and the Paramount+ and HBO Max streaming services. The transaction is described as an $81 billion merger based on its headline purchase price and roughly $111 billion when debt is included. California Governor Gavin Newsom supported resolving the case, arguing the settlement protects jobs and the state’s creative economy. That infuriated actor and merger opponent Mark Ruffalo, who accused Newsom of handing “a huge win to Trump and his billionaire cronies.” The Ellison family’s ties to President Trump and the future direction of CNN have made the deal intensely political. In exchange for ending the legal challenge, Paramount accepted enforceable commitments covering domestic film production, displaced workers, theatrical releases, cable negotiations and editorial oversight at CNN and CBS. Critics say the remedies are too weak and fear consolidation, layoffs and pro-Trump influence. The settlement still requires a judge’s approval, so the merger has not technically closed yet.
